TERMS AND CONDITIONS OF SALE

Printing Services Terms of Service
Purpose, Applicability & Price Adjustment
1. These Terms of Service set forth the conditions for using the printing services (hereinafter referred to as the “Service”) provided by Weave and Press (hereinafter referred to as “the Company”). They apply to all users (hereinafter referred to as the “Customer”) of the Service.
2. Prices for the Service are subject to change without prior notice. [6]
Formation of Contract & Cancellation Policy)
1. A printing service contract shall be formed when the Customer places an order in accordance with our designated procedures and the Company sends a confirmation notice (such as an order confirmation email) accepting the order.
2. If a print order is canceled after proof approval (after the artwork is finalized), a cancellation fee of 100% of the total charge will be billed.
3. Even if design work is canceled, charges for the actual hours worked by the designer will still apply.
Submitted Data, Copyright & Work Policy
1. Print-Ready Data: As a general rule, the Customer must submit “print-ready” data that requires no further editing or corrections.
2. Guarantee of Rights: The Customer guarantees that the submitted data does not infringe upon any third-party copyrights, trademarks, portrait rights, or other intellectual property rights.
3. Right of Refusal (Work Policy): The Company reserves the right to refuse work based on internal regulations, including but not limited to content that is antisocial/cult-related, illegal documents, or any other material deemed inappropriate for general printing.
4. File Retention: The Company will retain Customer files for a period of two (2) years; however, we do not guarantee retention beyond two years. Therefore, Customers are strongly encouraged to maintain their own file backups.
Product Inspection, Return Policy & Color Variance)
1. Inspection and Notification Period: The Customer shall inspect the products within fourteen (14) days of delivery for any shortages, incorrect items, or major defects, and must notify the Company within this timeframe.
2. Return Restrictions: No returns, refunds, and/or reprints will be accepted without the prior consent of Weave and Press. Remedies such as prompt reprinting will only be provided if the defect is determined to be the Company’s responsibility and prior consent is granted.
3. Color Variance: Minor differences between on-screen colors and the final printed output due to ink and paper stock characteristics are exempt from liability. Additionally, colors printed using the exact same file may vary slightly in the case of reorders.
Payment Policy, Late Fees & Acceleration of Liability
1. First-Time Customers: First-time Customers are required to pay 100% of the service fee at the time of order. [7]
2. Regular Customers & Due Dates: Installment payments are available exclusively to regular Customers who have received prior approval from our accounting department. Payment must be confirmed within thirty (30) days from the invoice date.
3. Late Fees: If payment is not received within 30 days, a late fee of 1.5% per month will be assessed monthly until the balance is paid in full.
4. Order Restrictions: Customers with outstanding invoices will not be permitted to place subsequent orders until the unpaid balance is fully cleared.
5. Acceleration of Liability: Upon the occurrence of any of the following events, all unpaid balances owed to Weave and Press shall become immediately due and payable:
* (1) The Customer ceases business operations, dissolves, or enters into liquidation proceedings.
* (2) The Customer becomes insolvent.
* (3) A receiver is appointed to hold, manage, or operate the Customer’s property or business.
* (4) An assignment of the Customer’s property or business is made for the benefit of creditors.
* (5) Legal proceedings are commenced by or against the Customer under any bankruptcy or insolvency laws.
6. Legal Fees: If legal action becomes necessary to enforce this provision (such as debt collection), the Customer agrees to pay all reasonable attorney’s fees and legal costs.
6. Exemption for Delivery Delays & Emergency Policy
1. Shipping Carrier Delays/Loss: Weave and Press shall not be held liable for any delays or losses caused by shipping carriers, including but not limited to FedEx, UPS, and USPS.
2. Force Majeure (Emergency Policy): Weave and Press reserves the right to suspend operations due to power outages, natural disasters, or government mandates, and shall not be held liable for any resulting delays. The Company is not responsible for any secondary or consequential damages. [8]
7. Governing Law and Jurisdiction
These Terms of Service shall be governed by, and construed in accordance with, the laws of the State of California, United States, without regard to its conflict of law principles.Any legal action, suit, or proceeding arising out of or relating to the Service between the Customer and Weave and Press shall be instituted exclusively in the federal or state courts located in [Insert County, e.g., Los Angeles County], California, and the Customer hereby consents to the exclusive jurisdiction of such courts.

1. お客様が当社の指定する手順に従って注文を行い、当社が当該注文を受領した旨の通知（注文確定メール等）を送信した時点で、印刷委託契約が成立するものとします。
2. 印刷注文の校正承認後（アートワークの最終決定後）にキャンセルされた場合、キャンセル料として料金の100%を請求します。
3. デザイン作業をキャンセルした場合でも、デザイナーの実働分の料金は発生します。
第3条（入稿データ・著作権および作業ポリシー）
1. 完全データの入稿：お客様は原則として、修正の必要がない「完全データ」を入稿するものとします。
2. 権利の保証：お客様は、入稿データが第三者の著作権、商標権、肖像権その他の権利を侵害していないことを保証するものとします。
3. 作業の拒絶（作業ポリシー）：当社は、反社会的・カルト的な内容、違法な文書、その他一般向けに印刷するのに不適切と判断するものなど、社内規定に基づいて作業を拒否する権利を留保します。
4. ファイル保管：当社はお客様のファイルを2年間保管しますが、2年を超えて保管することを保証するものではありません。したがって、お客様ご自身でファイルを保管されることをお勧めします。 [3, 4]
第4条（商品の受取と返品ポリシー・色味の免責）
1. 検収・通知期間：お客様は商品到着後14日以内に数量の不足や品違い、重大な印刷不良がないかを確認し、当社に通知するものとします。
2. 返品・再印刷の制限：当社の事前の同意なしに、返品、返金、または再印刷を受け付けることはありません。当社の責に帰すべき不良が認められ、当社が同意した場合に限り、速やかに再印刷等の対応を行います。
3. 色味の差異：モニター上の色味と実際の印刷仕上がり（インク・紙質による差異）の軽微な違いは免責とさせていただきます。また、同じファイルを使用して印刷した場合でも、再注文（増刷）の際には色味が若干異なる場合があります。
第5条（支払いポリシー・延滞料金および期限の利益喪失）
1. 初回のお客様：初回のご利用のお客様は、注文時に作業料金の100%を支払う必要があります。
2. 常連のお客様・支払い期日：分割払いは、当社の経理部門の承認を得た常連のお客様のみご利用いただけます。お支払いは、インボイス（請求書）発行日より30日以内に入金が確認できるように手続きを行ってください。
3. 延滞料金：支払い期日から30日を過ぎると、支払いが完了するまで毎月、月1.5%の延滞料金が課されます。
4. 注文の制限：未払いの請求書があるお客様は、当該請求書が清算されるまで、次の仕事を注文することはできません。
5. 期限の利益喪失：以下のいずれかの事由が発生した場合、当社に対する未払い金は直ちに支払期限が到来し、全額を支払うものとします。
* (1) お客様が事業を停止、消滅、または清算手続きに入った場合。
* (2) お客様が支払不能になった場合。
* (3) お客様の財産または事業を保有、管理、または運営するために管財人が選任された場合。
* (4) お客様の財産または事業が債権者の利益のために譲渡された場合。
* (5) 破産法または倒産法に基づき、お客様によって、またはお客様に対して訴訟手続きが開始された場合。
6. 弁護士費用等の負担：本条項（債権回収等）を執行するために訴訟が必要となった場合、お客様は合理的な弁護士費用および訴訟費用を支払うことに同意するものとします。
第6条（配送遅延および緊急時ポリシーに関する免責）
1. 配送業者の遅延・紛失：当社は、FedEx、UPS、USPSなどの配送会社による遅延または紛失について、一切の責任を負いません。
2. 不可抗力（緊急時ポリシー）：当社は、停電、自然災害、または政府の決定等により業務を停止する場合があり、これらに起因する作業や納品の遅延について一切の責任を負いません。二次的に発生した損害の賠償もいたしかねます。 [5]
第7条（準拠法および管轄裁判所）
1.本規約は、法の抵触に関する原則にかかわらず、米国カリフォルニア州法に準拠し、同法に従って解釈されるものとします。
2.本サービスに起因または関連してお客様とWeave and Pressとの間で生じた一切の法的請求または紛争は、カリフォルニア州ロサンゼルス郡に所在する連邦裁判所または州裁判所に提起されるものとし、お客様は当該裁判所の専属的管轄権に同意するものとします。
